Minutes of the June Meeting


Special Emergency Meeting of the Membership 31 June 2000

This Emergency Meeting of the Membership of ARISIA, Incorporated, was called to order promptly at 6:13 PM of the given date, with barely eight members of the Corporation bothering to show up, even given the special notice.

The Membership voted to seal the records of attendance at this meeting.

The only matter of business before the Membership at this Special Emergency Meeting was the question of DISSOLVING THE CORPORATION.

The Motion, as submitted, reads as follows:

MOVED to Dissolve the Corporation.

Point Of Order: One concerned member wanted to hear the justification for the Dissolution of the Corporation. It was pointed out that twice in a row, the Meetings of the General Membership failed to meet Quorum, and no business was conducted. Therefore, the Corporation should cease to exist, since there is no interest in maintaining the Corporation. MOVED TO AMEND by adding the following language to the motion: The assets of the Corporation shall be liquidated in accordance with the ByLaws of the Corporation, and all funds be channeled into the ARISIA '01 Convention. Motion ACCEPTED AS FRIENDLY. MOVED TO AMEND by adding the following language to the motion: That a portion of the proceeds of liquidating the assets of the Corporation be used to pay the professional fees of Lynda Carter, Dirk Benedict, Gil Gerard, and George Takei for appearances at ARISIA '01. OBJECTION TO CONSIDERATION: It is explicitly against the Policies of the Corporation to pay professional appearance fees for guests. During discussion, which was clearly in favor of accepting the amendment, the Chair THROWS OUT THE AMENDMENT, citing a lack of funds for such high-profile celebrities. MOVED TO AMEND by adding the following language to the amendment: Some of the proceeds of ARISIA '01 be used to "buy out" the three year contract with the Boston Park Plaza Hotel, Towers and Castle, as per the "non-block-filling" clause in the Hotel Contract. Motion ACCEPTED AS FRIENDLY. MOVED TO AMEND by adding the following language to the motion: That some of the proceeds of the Dissolution of the Corporation be used to throw Cris' Party at ARISIA '01, provided that there be at least 300 lbs. of ice cream present. Motion to Amend CARRIES by a vote of 6-2. MOVED TO AMEND by universally substituting "funds from the infusion to and proceeds of the ARISIA '01 Conference" wherever "funds from the dissolution of the Corporation" or "proceeds of ARISIA '01" or other language to that effect in the Motion, as it appears after the second sentence. Motion FAILS. MOVED TO AMEND by restating the motion as follows: MOVED to Dissolve the Corporation. The assets of the Corporation shall be liquidated in accordance with the ByLaws of the Corporation, and all funds be channeled into the ARISIA '01 Convention. Furthermore, that some of the funds from the infusion to and proceeds of the ARISIA '01 Conference shall be used to "buy out" the three year contract with the Boston Park Plaza Hotel, Towers and Castle, as per the "non-block-filling" clause in the Hotel Contract, and some be used to throw Cris' Party at ARISIA '01, provided that there be at least 300 lbs. of ice cream present. Motion to Amend CARRIES 7-1. Motion CARRIES 2-1 with 5 abstentions.

The Vice President and the Clerk have started the dissolution proceedings, and will be reporting on it to the remains of the Membership at the July Meeting.

Subscription to Mentor of ARISIA is included with Corporate Membership to ARISIA, Incorporated. Membership runs from September 1st to August 31st and costs $24.00. Dues are pro-rated on a monthly basis for members joining during the year.

Directions to the ARISIA Corporate Offices and Storage Facility

Located in Somerville, MA, Arisia's storage facility is on Windsor Place, a short block off Webster Ave.

From Union Square, take the first left after crossing the railroad bridge; from Cambridge, take the last right before crossing the railroad bridge. [See Map Below]

In any case, you will be turning onto Columbia St; the landmark is the Royal White Laundry at the corner. After turning onto Columbia, bear gently left onto Windsor Place at the stop sign. On the right (opposite DHL Worldwide Express) is a brick warehouse-type building. Our entrance is the rightmost door, which has a big sign for the Diak Corporation. You might be able to find parking in front of the building, but do not block any of the doors or loading docks. Do not park at DHL during their business hours! You can probably park safely at RCN.

Enter the first door in the building. Go upstairs to the second floor. Wander down the hallway until you see Arisians. Enter here.

To get to Arisia Storage by Public Transit:

Take the #85 from Kendall Square T on the Red Line. Get off at Columbia Street (the street on the left is labeled Tremont Street & there is a large commercial laundry business on your right -- you may have to walk back about 50 feet from the bus stop) . *Walk up Columbia Street through the next intersection and follow the street around to the left. You will come to a large brick building on the right (just across from DHL).

You could also take any bus to Union Square, Somerville, (or at least any bus that normally runs there:), and then walk over the railroad bridge on Prospect to Webster Ave. Make a left onto Webster and a left onto Columbia (it's the first street on the left, btw). Follow from * above.

You could also take the #69 from Harvard Square or from Lechmere T to Webster/Columbia (the (it changes names at Cambridge Street, which is the street that the #69 runs down:). Walk up Webster between the Shell station and the cemetery/headstone sales place to Columbia Court (it will be on your right). Follow from * above.

You could take the T to Central and walk up Prospect until you get to Webster Ave. (noticeable by the USave car/truck rental place on your right at that intersection). Take a right onto Webster and then make a left onto Columbia Court (the first left, I think). Follow from * above.

The map and directions don't tell you that the storage facility is a couple of blocks from Inman Square.

You can take the 69 bus, which runs along Cambridge St., from Harvard Square or Lechmere to Columbia St. You can also take the 83 and 91 buses, which go up Prospect St., from Central Square to Cambridge St.

The fine print
The "Special Emergency Meeting" of the corporation, listed as occurring on 31 June 2000 did not actually occur. There is no motion to dissolve the corporation. Your Clerk has, in his frustration and without the knowledge or consent of the person who first spoke aloud the concept of Dissolving the Corporation, decided to try to prompt interest in the Corporation with this fictitious report. Your Clerk shall be present at the next General meeting to accept your collective scolding.
